Terms of Use

1. Acceptance of Terms
By accessing or using the Singuit web application (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and Singuit.
2. The Service
Singuit is a music practice platform that provides chord progressions, virtual guitar accompaniment, and composition tools. The Service is intended for personal, educational, and non-commercial music practice. It is provided "as is" and may be updated, changed, or modified at any time.
3. Accounts and Eligibility
You must be at least 13 years old to use the Service. By creating an account, you represent that you meet this age requirement. You may sign in using your Google account, and you are responsible for all activity that occurs under your account. You agree to maintain the security of your credentials and to notify us promptly if you suspect unauthorized access.
4. Subscriptions and Payments
Certain features of the Service are available through a paid subscription. By subscribing, you authorize us (via our third-party payment processor) to charge the applicable fees to your payment method on a recurring basis. Subscription fees are non-refundable except as required by applicable law or as stated in any specific promotional terms.
You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period, and you will retain access to paid features through that date. We reserve the right to change pricing with reasonable notice; continued use after a price change constitutes acceptance.
5. User Content — Compositions
Chord arrangements, chord spacing configurations, rhythm patterns, and other compositions you create using the Service ("User Content") remain your property. By saving User Content to the Service, you grant Singuit a limited, non-exclusive, royalty-free license to store and serve that content as part of the Service.
Public visibility. User Content — including your chord spacing arrangements — is publicly accessible to all Singuit users. By saving a composition, you acknowledge and consent to it being visible to and usable by other users of the Service. Do not include personal, sensitive, or confidential information in your compositions.
You are responsible for ensuring your User Content does not infringe any third-party intellectual property rights.
6. Lyrics
Lyrics you enter into Singuit are processed entirely within your browser and are never transmitted to or stored on our servers. You are solely responsible for any lyrics content you use in connection with the Service, including ensuring your use complies with applicable copyright law. Singuit does not endorse, verify, or take any responsibility for lyrics entered by users.
7. Chord Progressions and Copyright
Chord progressions are generally not protected by copyright. Singuit provides chord data for music practice purposes only. Nothing in the Service grants you a license to reproduce, distribute, or publicly perform any copyrighted composition, arrangement, recording, or lyrical work. You are responsible for complying with copyright law as it applies to any music you practice or create using the Service.
8. Audio Recording and Sharing
Audio recording and social sharing features are not available in the current version of the Service. Generated guitar accompaniment is provided for personal, private practice only and may not be recorded, redistributed, or used commercially.
9. Prohibited Uses
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to reverse-engineer, decompile, or otherwise derive the source code of the Service
- Interfere with, disrupt, or damage the Service or its infrastructure
- Impersonate any person or entity or misrepresent your affiliation
- Use automated scripts, bots, or scrapers to access the Service at scale
- Upload or transmit harmful, offensive, or infringing content
Singuit may display links to third-party websites such as Musixmatch and Google Search to help users locate lyrics for personal practice purposes. These links do not constitute an endorsement or affiliation, and Singuit receives no compensation of any kind in connection with such links.
10. Third-Party Services
The Service integrates with third-party services including Google (for sign-in and analytics) and a payment processor (for subscriptions). Your use of these services is subject to their respective terms of service and privacy policies. Singuit is not responsible for the practices of any third-party service.
11. Intellectual Property
All content, design, code, trademarks, and other materials comprising the Service (excluding User Content) are owned by or licensed to Singuit. You may not reproduce, modify, distribute, or create derivative works from any part of the Service without our prior written consent.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SINGUIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14. Indemnification
You agree to indemnify and hold harmless Singuit and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, or your violation of these Terms.
15. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 7, 12, 13, and 14) will continue to apply.
16. Governing Law
These Terms are governed by the laws of the State of California, United States. Disputes shall be resolved in the courts of San Diego County, California.
17. Changes to These Terms
We reserve the right to update these Terms at any time. We will indicate the new effective date at the top of this page and, for material changes, provide notice by email or within the Service. Your continued use of the Service after any updates are posted constitutes your acceptance of the revised Terms.
